Terms of Service

1. Platform: refers to the digital music distribution platform operated by us, including but not limited to websites, mobile applications and other client forms.

2. User: refers to any natural person who registers, logs in and uses the Platform services, including but not limited to musicians, labels, managers or copyright holders.

3. Music Works: refers to original or lawfully licensed music content in the form of sound, lyrics, melody, etc. that users upload, manage and distribute through the Platform, including but not limited to sound recordings, music videos, lyrics and cover images.

1. The Platform provides digital music distribution and related services to music creators worldwide, including but not limited to:

1. Free distribution: no annual fee, no registration fee, no release fee, one-click release at any time;
2. Retained copyright: music creators retain full copyright in their works and may freely choose the scope and type of authorization;
3. Global channels: submission of works to leading global music platforms and partner channels such as Spotify, Apple Music and YouTube Music;
4. Professional services: registration of an ISRC release code and an international barcode (UPC/EAN) for every release;
5. Transparent data: data statistics and periodic royalty reports, allowing you to view play, download and revenue data at any time;
6. Convenient settlement: apply for settlement of your distribution earnings at any time through the Platform backend.

2. The Platform reserves the right to modify, suspend or terminate part or all of the services at any time without prior notice to users. The Platform shall not be liable to users or any third party for any such modification, suspension or termination.

1. Login Methods: You must log in to the Platform with a Google or PayPal account and are responsible for the security of your login credentials. We only obtain the basic profile data you agree to share during authorization (such as your email address and unique account identifier).

2. Account Security: You are fully responsible for all activities carried out through your account. If you detect any security risk or unusual login activity, please contact us immediately at support@aimissue.com.

3. Account Transfer: Your account may be used only by you. Without our written consent, you may not transfer, lend or gift your account in any way.

4. Account Closure: You have the right to close your account in accordance with the Platform rules. Account closure is an irreversible action. After closure, we will delete or anonymize your personal information, except where otherwise required by law.

1. All works you upload to the Platform must be original or works for which you hold complete legal rights, and must not infringe the copyright, trademark, image rights, privacy or other legal rights of any third party. You warrant that your content does not contain illegal, pornographic, violent or hateful material.

2. When uploading cover songs, you must obtain the necessary authorization from the original songwriters and sound recording right holders; any resulting liability is entirely yours.

3. If you submit music on behalf of a team or other co-owners of the copyright, you warrant that you have obtained the consent of the other team members and co-owners, and you must respect the rights of the right holders, including their right of attribution and right to receive remuneration.

4. If your content leads to a claim against us by a third party, you agree to indemnify us for all losses incurred (including but not limited to direct losses, indirect losses, litigation costs and attorneys' fees).

1. User Intellectual Property: You retain full copyright in the works and materials you upload. To distribute your works to global channels, you grant us a non-exclusive right of reproduction and distribution necessary for release, promotion and royalty settlement.

2. Platform Intellectual Property: The overall content, design elements, trademarks, logos, product and service names of the Platform belong to us or are lawfully licensed to us. Without our explicit authorization, no one may use or copy them without permission.

3. These Terms do not transfer ownership of any musical work.

1. We submit your works to partner channels (such as Spotify, Apple Music and YouTube Music) for release. Due to each channel's policies and review processes, we cannot guarantee release dates or results.

2. Song metadata (title, artist, language, ISRC, UPC, etc.) must comply with channel requirements. Any loss caused by incomplete or incorrect information is your responsibility.

3. The number of streams, downloads and the revenue of your works depend on market conditions and the popularity of the works themselves; we make no guarantees in this regard.

1. Royalty income generated by each channel belongs to you (70%) after deducting the platform share (30%) and channel-related fees.

2. Income reports are denominated in USD, and actual payment may arrive 30-90 days after the report is generated.

3. The 25th of each month is the transfer day; you must bind a PayPal payout account in your own name in advance.

4. The minimum single withdrawal amount is 50 USD; any loss caused by incorrect payout information is your responsibility.

When using the Platform services, you must comply with applicable laws and regulations and must not engage in the following conduct:

1. submitting false, infringing or non-compliant content;
2. malicious batch uploading, artificial streaming, chart manipulation or other data fabrication;
3. exploiting platform vulnerabilities for gain or disrupting the normal operation of the Platform;
4. using another person's account or payout account;
5. publishing false, fraudulent or misleading information;
6. engaging in money laundering, fraud or other illegal activities, or any conduct that violates applicable laws and regulations.

If you violate any of the above, we have the right to require you to rectify the violation or directly take necessary measures, including but not limited to deleting the relevant content and suspending or terminating your account and services.

1. If we discover, or receive reports or complaints from others, that you have breached these Terms or laws and regulations, we have the right to delete, block or disconnect the relevant content without notice, and to impose penalties on the offending account depending on the severity, including warnings, restrictions or prohibitions on the use of Platform features, freezing or banning the account, up to closing the account.

2. You shall bear sole responsibility for any claims, demands or losses raised by third parties arising from your breach of these Terms; you shall also compensate us for any losses we suffer as a result.

1. The Platform provides distribution services on an "as is" basis and does not guarantee that the services will be uninterrupted, error-free or faultless. We are not liable, to the extent permitted by law, for losses caused by failures, policy changes or force majeure of third-party channels (including but not limited to Google, PayPal and music channels).

2. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, punitive or consequential damages (including but not limited to loss of profits) arising from your use of or inability to use the services.

1. If you violate these Terms or the Platform rules, we have the right to suspend or terminate your account and services.

2. You may also close your account at any time through customer service. After closure, you will no longer be able to use the Platform services, and any accrued earnings will be settled in accordance with the agreement once processing is complete.

1. We may amend or update these Terms from time to time in response to changes in laws and regulations or business needs.

2. The updated Terms will be published on this page with a revised date and, when necessary, you will be reminded through in-platform notifications. Your continued use of the services after the changes take effect constitutes acceptance of the updated Terms.

3. If you do not agree with the amendments, you have the right to stop using the Platform services.

1. Notices we send to you may be delivered by platform announcements, in-platform messages, email or other means, and are deemed delivered on the date of dispatch.

2. Notices you send to the Platform should be delivered through the channels we publish, such as support@aimissue.com.

1. The formation, validity and performance of these Terms are governed by the laws of the People's Republic of China.

2. Any disputes arising from these Terms shall first be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the competent court where the Platform is operated.
